We live in the UK. We owned a property in Istria and sold it in January 2012. At the time, we instructed our local accountant to proceed to close our d.o.o. but she let us down badly as a year later she had done nothing and so we could no longer use her services. We subsequently made enquiries and were told from two separate sources that we should just leave our company dormant (with what we understood were no assets and no liabilities) and that the authorities would close it automatically. In fact, we were told that there was a new law whereby that would happen and we would be charged nothing. We have now received, sent to our previous address in England., a 'signed for' letter, requesting unpaid fees to the Chamber of Commerce and the Chamber of Tourism, which we understand every Company has to pay. We guess that our accountant must have binned previous requests as they are fining us £200 for their admin. We now have a dilemma. If we pay what we owe, our Company will no longer be 'dormant', but on the other hand, if we don't the authorities know where to find us. Does anyone know of this 'new' law? What would you do please. I know before Croatia joined the EU they had a spate of closing companies in what seemed like a rush and nothing seemed to be really thought out. It seems like you missed the net. If you still have a company registered you are liable for company costs. Our advise is go and see a lawyer as you may be able to sue the accountant. You could also search on the net to see if your company has been closed as they would not have informed you of this.

What happened is our local tax office didn't pass on our paperwork, just shoved it into a pile of other returns. Quite amazing really, but in many ways we where OK with them closing as saved us some dough. Check the business web site to see if your company is active or closed. By the way, if you have unpaid bills then Fina knows about this and your company is not considered dormant.
