I have received this email from my solicitor does anyone know about this .We registered our company in 2006 my wife and i jointly owning 2 holiday apartments in Vodice, living in England 10 months of the year
Dear Madam/Sir, We need to inform you that Croation law of trading companies has changed and according to Article 52. of mentioned changes all trading companies which have two or more members must submit application to Commercial court regarding the entrance of all founders into court register (also Internet register) as the owners with OIB numbers (new identification number issued by Revenue office), which wasn't the case till now. The procedure is obligatory according to mentioned changes of the law. This application must be submitted to court till no late then October 31 th. If these application is not submitted Commercial court can charge you first penalty in amount of 5000 kn, and after that new penalty in increased amount, all till the change is been done. Necessary documentation needs to be drafted and signed in front of public notary who then submits the application to Commercial court. Before that, if you don't have issued OIB number till now, you will need to obtain one with copy of your passport. You can do this procedure in person till October 31th or by issued power of attorney, if you are not able to come to Croatia. Public notary fees are around 2500 kn (which includes court fees), and if you do it by power of attorney there will be extra cost as translate of power of attorney, as well as lawyers fee. Yes, it's sadly true that all companies in Croatia with two owners must register by the end of this month their details. If you are in Croatia, then you don't require a lawyer to do the process, just go to notary, but if not then you will. Actual cost without lawyer is around 1500 to 1800 Kuna. There is no way around this one. By all accounts it is really another money making scheme by someone somewhere. We discussed this not long ago so search the site or maybe someone can link it back here, plus you can read the law.

Sounds like i don't have too many options but pay through the nose again,are they likely to fine me i i don't complete by the 1st November. Does it make sense to transfer ownership so there is only 1 owner ( i still love my wife she wouldn't do runner would she ).
Makes me more determined to change status to a private ownership what with all the ongoing charges like an accountant charging 8000 Kunas to send utility bills details 4 times a year. I know it is a rip off but seems it is the going rate in Croatia.
I would appreciate any advice on how to change to private ownership no doubt there will costs but just looking at accountant fees for 5 years of £5000 its got to make sense.

Yes, they will fine you for sure as it is a money making endeavour this new requirement, not one to seek normal information that any tom, dick or Harry could submit by going to the tax office or ministry of works and filling in a form that states me and Jimbo over there own this company, stamping with ones company certified stamp and all parties signing the declaration. Actually, they could do it by mail, but then that would be too easy and not pay off the notaries, the courts and whoever else thought this great scheme up.
Changing your property to private is sensible in many ways; just I don't know the taxes or fees involved.
Why not pay in advance on your utilities, then have your mail sent to your house, then once in a while visit your property and take care of any outstanding bills. Paying someone 8000 Kuna to pickup your mail is crazy. Never looked into it, but I wonder if Croatian mail have any mail forwarding services? I know you can get a post box.

some of the fees and taxes I can think of:- 1) 5% RETT for when you become the new owner (not the company any more) 2) sale contract preparation fee for when you sell the property to yourself 3) sale contract translation fee 4) notary fee for when you sign the sale contract 5) closing down the company fees

but, but, BUT you can sell the property without paying any capital gains if you privately own it for longer than 3 years (as long as Croatia doesn't change the law t say this only applies if your surname ends in -ic).

The tax office gave me my OIB a few months ago (it was actually incredibly easy and quick, which was a very pleasant surprise). But they have now contacted me asking for my OIB number - as they were the ones that gave it to me you would think it was in their computer system somewhere....

You can't transfer ownership to 1 owner as they won't do anything before this registration thing is complete. I tried the same thing but the court wants the new registration first, and then they will change things. Quite stupid!

OIB, i have two, 7 years of living here, all the mountains of paper work they have filed, on me and yes two OIB, you could go on for every about, thing that are wrong here, but think it best just to accept the rubbish here, and go with it, you want change anything, and drive you self crazy trying, after all there are many good reasons, why we are still here, and as they say if you cannot cook, stay out of the kicthen ,

I still think in closing a company, people should unight , and bring a case into the EU courts, and look for a embassy on this, as ther is so many wrong doing, in opening ,closing and running a company here,

thereason they are targeting firm owners, cos they think, like most people here have always thought...that if you have a firm you are rich. and cos of the commy system...if you are rich, you need to have some of your money taken away. and funny thing is there are masses of firms working in the black or with massive loss in order to catch up with govt stupidity. it wouldve been better for many of the firm owners to have just been bums and sit in cafes. ok less women and respect, but atleast theyd have less debt. loooooool......thats great I would have much more money had I just sat and drank coffee.........trying to work cost me money every month. @ FRANCIS....... I am always scared of the next thing now, coming here to read is an anxiety filled moment as to what you might see that could get you or some problem you might have. Read the list of topics......what happiness is there??? Its like you are always under attack there....I am 10,000 miles away, you can feel it from here.
